Terms of Use

These Terms of Use ("Terms") govern your access to and use of the VLMS HR & Talent Portal ("Platform") operated by Valiant Lifecare (VLMS Global) ("Company," "we," "us," "our"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Eligibility
The Platform is available to individuals who are at least 18 years of age and meet one of the following criteria:
- Hold or are actively pursuing an active AAPC or AHIMA professional credential
- Are employed by or are a contractor of a healthcare organisation registered on the Platform
- Are a registered student in an AAPC or AHIMA approved educational program
- Are an authorised administrator designated by a registered healthcare organisation
By registering, you represent and warrant that you meet the applicable eligibility criteria. We reserve the right to verify eligibility at any time and to suspend or terminate accounts that do not qualify.
2. Account Registration and Security
To access most features of the Platform, you must create an account. You agree to:
- Provide accurate, complete, and current registration information, including valid credential IDs
- Maintain the security of your password and not share account credentials with any third party
- Notify us immediately of any unauthorized use of your account at hr@valiantlifecare.com
- Accept responsibility for all activities that occur under your account
We reserve the right to disable any account at any time if we believe that security has been compromised, eligibility requirements are not met, or these Terms have been violated.
3. Acceptable Use
You agree to use the Platform only for lawful, healthcare workforce-related purposes. You expressly agree NOT to:
- Misrepresent your credentials, identity, or professional qualifications
- Upload false, fraudulent, or inaccurate coding work samples or application materials
- Access or attempt to access another user's account without authorization
- Use the Platform to facilitate upcoding, fraudulent billing, or any act that violates the False Claims Act
- Harvest, scrape, or collect data from the Platform using automated tools
- Transmit malware, viruses, or any code designed to disrupt the Platform
- Use the Platform for any purpose that violates HIPAA, state privacy laws, or healthcare fraud and abuse statutes
- Reverse engineer, decompile, or attempt to extract the Platform's source code
Violations of this section may result in immediate account termination and may be referred to appropriate regulatory or law enforcement authorities.
4. CEU Courses and Learning Content
CEU courses available on the Platform are provided for professional development purposes. By enrolling in a course, you acknowledge that:
- CEU credits are awarded upon documented completion of course requirements and assessments
- You are responsible for reporting completed CEUs to AAPC or AHIMA as required by your credential's maintenance cycle
- Course content is regularly updated but does not constitute legal, medical, or billing advice
- Certificates issued by VLMS do not replace official AAPC or AHIMA certification credentials
5. Intellectual Property
All content on the Platform — including course materials, text, graphics, code, trademarks, and the VLMS platform interface — is owned by or licensed to Valiant Lifecare and is protected by copyright, trademark, and other applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of Platform content without written permission from Valiant Lifecare. You retain ownership of content you upload to the Platform (resumes, credentials, work samples), and you grant Valiant Lifecare a limited, non-exclusive license to use such content for the purposes described in these Terms.
6. Third-Party Services
The Platform integrates with third-party services including AAPC and AHIMA credential verification systems, background check providers, and cloud infrastructure services. We are not responsible for the availability, accuracy, or conduct of third-party services. Your use of third-party services accessed through the Platform is governed by those providers' terms and privacy policies.
7. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. VALIANT LIFECARE DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS. WE DO NOT GUARANTEE EMPLOYMENT PLACEMENT OR CERTIFICATION OUTCOMES AS A RESULT OF USING THE PLATFORM.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VALIANT LIFECARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
9. Indemnification
You agree to indemnify, defend, and hold harmless Valiant Lifecare and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform, violation of these Terms, misrepresentation of your credentials or qualifications, or violation of any applicable law or regulation.
10. Termination
Either party may terminate these Terms at any time. We may terminate or suspend your access immediately if you violate these Terms, if your credentials are suspended or revoked by AAPC or AHIMA, if you appear on the OIG exclusion list, or if required by applicable law. Upon termination, your right to access the Platform ceases. Sections of these Terms that by their nature should survive termination will do so.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising out of these Terms shall first be submitted to good-faith mediation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in Wilmington, Delaware. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to registered users at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the modified Terms.
